Terms of Service

These Terms of Service ("Terms") govern your access to and use of the website thortaxes.com and all related services, products, and content (collectively, the "Service") operated by AIO Inc., a Delaware corporation doing business in Fort Worth, Texas ("Company," "we," "us," or "our").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Nature of Services

1.1 Tax Strategy and Education

Thor provides tax strategy analysis, tax education, and informational services. Thor analyzes financial information you provide and generates strategy recommendations based on the Internal Revenue Code, Treasury Regulations, and published IRS guidance.

1.2 What Thor Is NOT

Thor is NOT a Certified Public Accountant (CPA), Enrolled Agent (EA), licensed attorney, or registered tax return preparer. Thor does not:

Use of Thor does not create a CPA-client relationship, attorney-client relationship, enrolled agent-client relationship, or any other professional advisory relationship. The information and strategies provided are educational and informational in nature.

1.4 Recommendation to Consult Licensed Professionals

We strongly recommend that you consult with a licensed CPA, enrolled agent, or tax attorney before implementing any tax strategy. Tax laws are complex, change frequently, and their application depends on your specific facts and circumstances. A licensed professional can evaluate whether any strategy is appropriate for your particular situation.

2. IRS Circular 230 Disclosure

CIRCULAR 230 NOTICE: To ensure compliance with requirements imposed by the IRS, we inform you that any U.S. federal tax advice contained in this communication (including any attachments, strategy documents, or related materials) is not intended or written to be used, and cannot be used, for the purpose of (i) avoiding penalties under the Internal Revenue Code or (ii) promoting, marketing, or recommending to another party any transaction or matter addressed herein. Each taxpayer should seek advice based on the taxpayer's particular circumstances from an independent tax advisor.

3. Service Fees and Payment

3.1 Pricing

The current fee for a one-day tax strategy session is $100.00 USD. Pricing is subject to change. The price in effect at the time of your purchase governs your transaction.

3.2 Payment Processing

Payments are processed through Stripe, Inc., a third-party payment processor. By making a payment, you also agree to Stripe's Terms of Service. We do not store your credit card information on our servers.

3.3 Refund Policy

If you are not satisfied with your tax strategy session, you may request a full refund within seven (7) days of delivery of your strategy document by contacting us at the email address listed below. Refunds will be processed to the original payment method within 5-10 business days. Refund requests made after seven (7) days will be evaluated on a case-by-case basis.

4. User Responsibilities

4.1 Accuracy of Information

You are solely responsible for the accuracy, completeness, and legality of all information, documents, and materials you provide to Thor. The quality and applicability of our strategy recommendations depend entirely on the information you provide. Inaccurate or incomplete information may result in strategies that are inapplicable or incorrect for your situation.

4.2 Tax Compliance

You are solely responsible for your own tax compliance, including the timely filing of all required tax returns and the payment of all taxes owed. Thor does not monitor deadlines, file returns, or make payments on your behalf.

4.3 Implementation

Any decision to implement a tax strategy recommended by Thor is made at your own discretion and risk. We recommend all strategies be reviewed by a licensed tax professional before implementation.

5. No Guarantee of Results

RESULTS VARY. Tax savings described in our marketing materials, case studies, and strategy documents are illustrative examples based on specific factual scenarios. They do not guarantee that any particular taxpayer will achieve similar results. Your actual tax savings will depend on your specific income, expenses, entity structure, filing status, applicable tax law, and other individual factors. Past strategy outcomes do not guarantee future results.

6. Intellectual Property

All content on the Service — including text, graphics, logos, code, strategy frameworks, and educational materials — is the property of AIO Inc. and is protected by United States copyright, trademark, and intellectual property laws. You may not reproduce, distribute, modify, or create derivative works from any content without our prior written consent.

Your tax strategy document is provided for your personal use only. You may share it with your licensed tax professional for implementation purposes.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, AIO INC., ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION: LOSS OF PROFITS, LOSS OF DATA, TAX PENALTIES, IRS ASSESSMENTS, INTEREST, OR ANY OTHER PECUNIARY LOSS ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE.

Our total aggregate liability for any claims arising out of or related to the Service shall not exceed the amount you paid for the specific service giving rise to the claim.

This limitation applies whether the alleged liability is based on contract, tort, negligence, strict liability, or any other basis, even if we have been advised of the possibility of such damages.

8. Indemnification

You agree to indemnify, defend, and hold harmless AIO Inc., its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or related to: (a) your use of the Service; (b) your violation of these Terms; (c) your implementation of any tax strategy; (d) any inaccuracy in the information you provided; or (e) your violation of any applicable law or regulation.

9. Dispute Resolution

9.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions.

9.2 Mandatory Arbitration

Any dispute, controversy, or claim arising out of or relating to these Terms or the Service shall be resolved by binding arbitration administered by the American Arbitration Association ("AAA") under its Commercial Arbitration Rules. The arbitration shall be conducted in Tarrant County, Texas. The arbitrator's award shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

9.3 Class Action Waiver

YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. You waive any right to participate in a class action lawsuit or class-wide arbitration against AIO Inc.

9.4 Small Claims Exception

Notwithstanding the above, either party may bring an individual action in small claims court in Tarrant County, Texas, for disputes within that court's jurisdictional limits.

10. Compliance with Texas Law

10.1 Texas Deceptive Trade Practices Act

Nothing in these Terms is intended to waive any rights you may have under the Texas Deceptive Trade Practices-Consumer Protection Act (DTPA), Texas Business & Commerce Code § 17.41 et seq., except to the extent such waiver is permitted by law. If you are a "consumer" as defined by the DTPA and your claim exceeds $100,000, you may waive DTPA provisions as permitted under § 17.42.

10.2 Texas State Board of Public Accountancy

Thor does not provide services that constitute the "practice of public accountancy" as defined by the Texas Public Accountancy Act (Texas Occupations Code § 901.001 et seq.). Thor does not perform attest services, audits, reviews, or compilations, and does not hold itself out as a CPA firm.

11. Data and Document Security

We implement reasonable administrative, technical, and physical safeguards to protect the information and documents you provide. However, no method of electronic transmission or storage is 100% secure. See our Privacy Policy for details on how we collect, use, and protect your information.

12. Modifications to Terms

We reserve the right to modify these Terms at any time. Changes will be effective upon posting to the Service with an updated "Last Updated" date. Your continued use of the Service after any modification constitutes acceptance of the revised Terms.

13. Severability

If any provision of these Terms is held to be unenforceable or invalid, that provision will be enforced to the maximum extent possible, and the other provisions will remain in full force and effect.

14. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and AIO Inc. regarding the Service and supersede all prior agreements, representations, and understandings.
